Role description

JOIN OUR BOARD OF DIRECTORS
Due to the completion of our new building, we’ve stepped into an exciting new chapter—and we need a strong board of Directors to
help guide the way.
Are you a strategic leader with a passion for sustainability?
Upcycle Kernow CIC is looking for committed Directors to shape the future of our zero-waste initiatives.
This role involves setting strategic objectives, overseeing financial performance, ensuring legal compliance, and supporting our team
in achieving our mission.

WHO ARE WE?
Upcycle Kernow is a community-led, not-for-profit organisation that champions sustainability through recycling, upskilling, and
education. We provide a welcoming, creative space where people can learn new skills, share knowledge, and take positive action for
their community and the environment.
Through our work, we empower individuals with the skills and confidence to live more sustainably. We inspire and motivate
participants to reduce waste, repurpose materials, and embrace a circular economy.

WHAT DO WE DO?
As a volunteer-led Community Interest Company (CIC) with a zero-waste ethos, we offer a variety of practical
ways for people to reuse and upcycle resources, including:
- Workshops & Community Groups – Providing access to tools such as sewing machines, saws, and art
equipment to upcycle materials.
- Repair Café – A space where people can bring items to be fixed, preventing waste.
- Clothes Swaps & Tool Library – Encouraging reuse and sharing of resources.
- Recycling Service & Refill Station – Reducing waste and promoting sustainable choices.

These activities not only upskill individuals and reduce waste but also nurture personal connections, reduce
isolation, and provide valuable support within our rural community.

ROLE OF A DIRECTOR
As a Director, you will play a key role in shaping the future of Upcycle Kernow, ensuring that we continue to meet our
mission and serve the community effectively. This is a strategic role rather than an operational one, meaning
you’ll focus on guiding the organisation rather than managing its day-to-day activities.

Your responsibilities include:
- Setting the organisation’s strategic objectives and policies.
- Overseeing financial performance and legal compliance.
- Supporting and advising the management team.
- Acting as an ambassador for Upcycle Kernow within the community and beyond.

We are looking for individuals with leadership, organisational, and communication skills, as well as
experience in management or directorship. An understanding of corporate governance, financial
oversight, and business strategy, along with the ability to act as a public spokesperson and engage with
stakeholders.

LEGAL RESPONSIBILITIES
As a CIC Director, you have certain legal duties to ensure Upcycle Kernow operates responsibly and in the best
interests of the community. These include:
- Acting in the best interest of the CIC – Ensuring decisions benefit the organisation and its mission.
- Financial oversight – Helping to manage funds responsibly and ensuring financial records are in order.
- Legal compliance – Meeting reporting requirements, adhering to health & safety laws, and ensuring ethical
governance.
- Community benefit – Ensuring Upcycle Kernow operates for the public good, not private gain.

While Directors have limited personal liability, you must act honestly, follow governance rules, and help ensure
financial sustainability.
